Is £300 an achievable price limit to buy Seperate DVD (upscaling), 5.1 Amp and half decent Speakers?

I was looking at spending £300 on an all in 1 Home cini system to complement my mighty Pana 32" TV. I phoned my local hi-fi shop and they recon I could get a separate system that would do everything the all in one can do, but with better quality - is this too good to be true?
The key features I require are Upscaling DVD, Dolby 5.1, USB input to amp (this is a nice to have) and HDMI connectivity. Any help / advice on what to get would be much appreciated.

Thanks

In a word, no. You can get a decent upscaling dvd player for £50 (I just got a Sony one and it does the job). A moderate receiver, £175 if you shopped around. That leaves you £75 for speakers!

There was an all in one package I saw in the mag recently (LG I think) and it was £270 for the lot. Obviously you are not getting a separate receiver but a dvd player with the amp within. Still excellent value.
